Intellectual Property Agreement Between Partner and Oldways
Object and purpose of the agreement
This Agreement is made and effective as of [Today’s date] by and between: Oldways, a company organized and existing at 266 Beacon St, Suite 1, Boston, MA. 02116 (“Oldways”) and [Partner] located at [Partner’s Address] (“Partner”). The Partner intends to use Oldways’ curricula (A Taste of African Heritage, A Taste of Latin American Heritage, and/or A Children’s Taste of African Heritage). This Agreement covers the terms of this usage.
The parties agree that:
- Oldways remains the owner of the instructional materials, including all intellectual property rights, and Oldways’ copyright remains printed on the curriculum.
- The Partner may use the instructional materials for the purpose of teaching the cooking and nutrition curriculum as approved by Oldways, and is not otherwise granted any other rights to use, alter or reproduce the instructional materials.
- To teach a series, the Partner needs both the teacher’s manual and the student handbooks. The Partner understands that pages from the printed curriculum cannot be photocopied, printed, published, copied, scanned, or resold.
- The Partner is responsible for all necessary costs incurred with teaching (grocery costs, labor costs, etc.).
- Oldways will also supply the Partner with entrance and exit student lifestyle surveys, consent forms, and teacher evaluations upon request.
- The Partner may not create derivatives of the Program.
- The Partner agrees that any prior agreements to use, distribute or teach the curricula are hereby terminated.
- Failure to comply with the terms of this agreement will result in termination of all rights described above. This agreement is effective in perpetuity.
